USA MAP Policy For the purpose of this agreement, Smart Bottoms and any other subsidiary brand of Smart Bottoms, Inc. based in Kentwood, Michigan, USA will be known as “The Manufacturer”. All authorized retailers within the US will be known as “Retail Partner” for all provisions contained within this policy. We intend to enforce a strict MAP policy to ensure the retention of our brand’s value. We will require that all retailers, both online and brick and mortar abide by all provisions of this Minimum Allowable Price Policy (MAP). 1. Product Retail Prices Product retail price, unless specifically agreed in writing by the Manufacturer prior to listing that price, must be no lower than prices shown on the current wholesale website. Marking the price lower than the MAP with a higher shipping price to equal or exceed the MAP is NOT ALLOWABLE BY THIS POLICY. The price of the product alone must abide by this clause. Shipping cost is each retailer’s own decision and may be set at any price equal to or greater than $0.00 USD. Any price found on the World Wide Web or within a retail store that is lower than the MAP for the corresponding item in the current Wholesale website will be in violation and subject to the closure of their wholesale account with Smart Bottoms. 2. Product Sales and Specials There will be two allowable sale periods per year that Retail Partners may mark Smart Bottoms products up to 15% below MAP. These sales will not exceed 7 days. This policy is effective for both online and brick and mortar retailers. Below are the periods in which Retail Partners may hold a sale. End of Calendar Year Earth Day (April 22-April 28) Black Friday (Sale may begin at 12:01am the day after US Thanksgiving and may extend for a total of 7 days.) Retail Partners that attend an event or consumer show and would like to offer our products at a discount for the one-day event may contact Smart Bottoms directly for written approval. Any retailer that is found to be in violation of any of the above sale guidelines will be subject to the closure of their wholesale account with the Manufacturer. Product Exclusions – The Start Smart Kits may not be included in any sale or offered at a discount under any circumstance. 4. Exclusivity & Territory Selling The Manufacturer does not currently allow for exclusivity or territory selling. If a Brick and Mortar Retail Partner would like to petition for the right to sell exclusively in one location, the request will be taken into consideration. The decision will be based on the annual sales of the Manufacturers’ products from the petitioning Retail Partner, the number of other brick and mortar stores carrying cloth diapers in the area in which exclusivity is sought, and the total population for the region. Retail Partners, both brick and mortar and online, are not allowed to sell to parties, whether private or to other retailers, outside of their country, their country’s territories, and/or their country’s military bases. An exception will be made for Retail Partners selling Manufacturer’s exclusive products designed and produced for that specific Retail Partner. In this instance, the Retail Partner may sell the exclusive products only to parties outside of the US. 5. Ebay and Amazon Retail Partners intending to sell the Manufacturers’ products on Ebay or Amazon must first get written approval from the Manufacturer. 6. Discontinued Items From time to time, the Manufacturer will discontinue certain products. When this happens all Retail Partners will be notified so they may liquidate their inventory if they so choose. It is the Retail Partner’s responsibility to update their own domains. If a product is discontinued the MAP clause does not apply to that specific product. 7. Bulk Discounting Retailers may offer the following discounts, at anytime, for customers that purchase in bulk. These are the maximum discounts allowed on bulk purchases. These discounts may not be combined with a sale. These discounts may be applied to any of the same product (regardless of color or print). Ie. Purchase of 6-11 Too Smart Covers would equal 3% discount. Purchase of 5 Too Smart Covers and 1 Smart One 3.1 would not qualify the customer for a discount. 3% off MAP for purchase of 6-11 diapers 5% off MAP for purchase of 12+ diapers 8. Accepting this Policy It is assumed by the Manufacturer that all Retail Partners that actively sell the Manufacturers’ products accept this policy and agree to the terms and conditions written herein. Any Retail Partner that does not accept the above MAP Policy must notify the Manufacturer immediately and arrangements will be made to dissolve their wholesale account. IF YOU FIND A RETAILER VIOLATING THE MAP POLICY If you become aware of a retailer who is not following this policy, please notify us immediately. Please send the web address and the date in which you found the violation to christy@smartbottoms.com. We will immediately notify them and begin the remedy process to ensure a fair marketplace. REVISIONS The Manufacturer reserves the right to revise this Policy and the minimum retail price at any time. The Retail Partners will receive a new copy after each revision.
